Last Updated: February 4, 2026
1. Acceptance of These Terms
1.1 These Terms & Conditions (“Terms”) govern (a) your access to and use of https://kantency.com (the “Site”), and (b) any services purchased from or delivered by Kantency, including speaking, workshops, coaching, and consulting (collectively, the “Services”).
1.2 By accessing the Site, submitting a form, booking a call, registering for an event/program, purchasing Services, or otherwise engaging Kantency, you agree to be bound by these Terms.
2. Definitions
2.1 “Client” means the individual or organization purchasing or receiving Services.
2.2 “Deliverables” means any materials, outputs, maps, frameworks, reports, work product, templates, worksheets, slide decks, recordings (if any), or other items provided by Kantency as part of Services.
2.3 “Order” means any booking, registration, purchase, statement of work (“SOW”), proposal acceptance, or checkout/registration confirmation.
2.4 “Third-Party Platforms” means platforms used to deliver or process bookings, payments, registrations, communications, or content (e.g., Eventbrite, scheduling and payment processors).
3. Scope of Services
3.1 Kantency provides strategic planning support, organizational change consulting, mapping/facilitation, workshops, and coaching-like strategic sessions focused on perspective-shifting and system/process clarity.
3.2 Unless explicitly stated in an SOW, Services are advisory and facilitative, not operational execution. You remain responsible for decisions, implementation, compliance, and outcomes.
3.3 No professional licensure is implied. Kantency is not providing legal, accounting, tax, medical, or mental-health services.
4. Orders, SOWs, and Priority of Documents
4.1 Specific Services, dates, fees, Deliverables, and timelines may be described in an Order or SOW.
4.2 If there is a conflict, the order of priority is: (1) signed SOW / written proposal accepted by both parties, (2) checkout/registration terms for the specific program/event, (3) these Terms.
5. Client Responsibilities
5.1 You agree to provide timely access to required information, stakeholders, and decision-makers.
5.2 You are responsible for internal alignment, approvals, and implementing recommendations.
5.3 You warrant that any information you provide is accurate and that you have authority to share it.
6. Scheduling, Rescheduling, and Attendance
6.1 Scheduled sessions (virtual or in-person) must start and end at the agreed times. Late arrival does not extend the session unless agreed in writing.
6.2 Rescheduling: Unless an SOW states otherwise, sessions may be rescheduled with at least 48 hours’ notice. If notice is under 48 hours, Kantency may treat it as a no-show and charge the session in full.
6.3 Workshops/Events: Dates and formats may change where reasonably necessary (e.g., venue issues, minimum attendance, facilitator illness). If Kantency cancels, you will receive either a reschedule option or a refund of fees paid for that specific event/program (excluding third-party fees not refundable by the platform).
7. Fees, Taxes, and Payment
7.1 Fees are as stated in the Order/SOW or the relevant checkout/registration page.
7.2 Unless stated otherwise, fees are in CAD and may be subject to applicable taxes (including GST, where applicable).
7.3 Kantency may require deposits, milestone payments, or payment in advance. Where payment plans exist, missed payments may pause Services until accounts are brought current.
7.4 You authorize Kantency and/or its Third-Party Platforms to charge the payment method provided for amounts due.
8. Refunds
8.1 Consulting/Coaching Engagements: Fees paid are non-refundable once work has commenced, except as required by law or as explicitly stated in an SOW.
8.2 Programs and Events (including those listed on the Site schedule): Refunds follow the refund policy shown at the point of purchase/registration (often handled via Eventbrite or another platform).
8.3 If a refund is approved, it is limited to fees actually received by Kantency (excluding platform/processing fees unless those fees are refunded to Kantency).
9. Intellectual Property (IP) and License
9.1 Kantency IP: All pre-existing methods, frameworks, tools, metaphors, templates, slide decks, brand elements, and know-how used or shared by Kantency remain Kantency’s exclusive property.
9.2 Client License: Upon full payment, Kantency grants the Client a non-transferable, non-sublicensable license to use Deliverables internally for the Client’s business purposes.
9.3 No Resale: You may not resell, publish, distribute, or create derivative commercial products from Kantency materials without prior written permission.
9.4 Client Materials: You retain ownership of your confidential materials, internal documents, and brand assets provided to Kantency.
10. Confidentiality
10.1 Each party may receive confidential information from the other. Each party agrees to keep such information confidential and use it only for the purposes of performing or receiving Services.
10.2 Confidentiality does not apply to information that is (a) public through no breach, (b) independently developed, (c) lawfully obtained from another source, or (d) required to be disclosed by law (with notice where legally permitted).
10.3 Unless agreed otherwise, Kantency may use anonymized learnings and generalized insights (not identifying you) to improve its Services.
11. Testimonials and Marketing Use
11.1 Kantency may request written/video testimonials. Any use of the Client’s name, logo, or identifying details in marketing requires the Client’s consent (email is fine).
11.2 You may revoke consent for future use by written notice; this does not require Kantency to remove materials already printed or already distributed.
12. Recording, Photos, and Media
12.1 Sessions or workshops may be recorded or photographed only with notice. If recordings occur, they are for internal quality, recap, or agreed Deliverables, unless otherwise stated.
12.2 For public events, you acknowledge that photographs/video may occur; Kantency will make reasonable efforts to accommodate opt-outs where feasible.
13. Website Use Rules
13.1 You agree not to: (a) interfere with Site operation, (b) attempt unauthorized access, (c) scrape content at scale, (d) transmit malware, or (e) use the Site for unlawful purposes.
13.2 Kantency may suspend or block access for violations.
14. Privacy
14.1 Personal information is handled per Kantency’s Privacy Policy.
14.2 The Site may use cookies and embedded content as described in the Privacy Policy.
15. Disclaimers
15.1 Services are provided on an “as is” and “as available” basis.
15.2 Kantency does not guarantee specific business outcomes, revenue, culture change, adoption success, or performance results.
15.3 You acknowledge that organizational change depends on many factors outside Kantency’s control (leadership, execution, resources, market conditions, etc.).
16. Limitation of Liability
16.1 To the maximum extent permitted by law, Kantency will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity.
16.2 Kantency’s total aggregate liability arising out of or relating to the Site or Services will not exceed the fees paid by the Client to Kantency in the three (3) months immediately preceding the event giving rise to the claim (or, if the Services are a one-time event, the total fees paid for that event).
17. Indemnity
17.1 You agree to indemnify and hold harmless Kantency from claims, liabilities, damages, and expenses arising from: (a) your misuse of Deliverables, (b) your breach of these Terms, or (c) your violation of laws/regulations.
18. Termination
18.1 Either party may terminate an engagement for material breach not cured within ten (10) days of written notice.
18.2 On termination, you remain responsible for fees for Services performed and committed costs incurred up to the termination date.
18.3 Sections intended to survive termination (including IP, confidentiality, limitation of liability, indemnity, governing law) will survive.
19. Force Majeure
19.1 Neither party is liable for failure or delay due to causes beyond reasonable control (e.g., natural disasters, outages, strikes, pandemics, government actions). Affected obligations are suspended during the event, and both parties will work in good faith to reschedule.
20. Governing Law and Dispute Resolution
20.1 These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
20.2 The parties will attempt to resolve disputes in good faith within thirty (30) days. If unresolved, disputes will be brought in the courts located in Alberta, Canada, unless an SOW specifies mediation/arbitration.
21. Changes to Terms
21.1 Kantency may update these Terms from time to time by posting updated Terms on the Site. Changes apply prospectively from the “Last Updated” date.
